Welcome. These terms explain what The Threshold and Companion are — and, just as importantly, what they are not. Please read them, especially the two highlighted sections below. By using the Services, you agree to these Terms and our Privacy Policy.
Nlight Entertainment, d/b/a Live Nlight ("Live Nlight," "we," "us"), operates The Threshold app and the Companion feature (together, the "Services").
Live Nlight is a grief-support and personal-growth practice. Njeri Njuhigu is a grief and happiness strategist and coach. She is not a licensed physician, psychologist, psychiatrist, therapist, or counselor, and the Services are not provided by licensed medical or mental-health professionals.
The Services offer education, reflection, emotional support, community, and coaching-style guidance. They are not a substitute for medical care, diagnosis, or treatment; for psychotherapy, psychiatric care, or counseling; or for crisis intervention.
No professional relationship is created. Using the Services does not create a therapist–client or physician–patient relationship. Always seek the advice of a qualified health provider with questions about a medical or mental-health condition, and never disregard or delay it because of the Services.
The Services are not a crisis line and cannot help in an emergency. If you are in crisis, thinking about harming yourself or others, or facing a medical or mental-health emergency, please get human help now:
Companion may surface these resources, but it cannot assess risk, intervene, or guarantee any response.
The Companion feature is an artificial-intelligence software tool. When you use Companion, you are communicating with AI-generated software — not a human and not a licensed professional. Its responses are produced automatically, may be inaccurate or incomplete, and should not be relied upon as professional advice. This disclosure is provided so you are aware you are interacting with AI, consistent with California law.
You must be 18 or older and able to form a binding contract to use the Services, and you confirm this when you create an account. The Services are intended for users in the United States.
Companion and member areas require an account verified by an email sign-in link. You are responsible for activity under your account and for keeping your email secure. Signing in confirms your email only; it does not by itself grant paid access.
Companion is a paid subscription of $47/month. Payments are processed by Stripe; your card details are handled by the processor and not stored by us. The subscription auto-renews each month until cancelled. You may cancel anytime, effective at the end of the current billing period, and keep access through the period you paid for. Except where required by law, payments are non-refundable.
You agree not to use the Services for emergencies; to rely on them as medical or mental-health treatment; to copy, resell, or train other systems on our content or methods; or to use them unlawfully or to harm others.
All content, frameworks, methods, and teachings in the Services — including Njeri Njuhigu's proprietary grief methodologies — are owned by Live Nlight and protected by law, and are provided for your personal, non-commercial use only. You may not reproduce, distribute, publish, or use them to build or train any product, model, or service, or share them with other professionals, without our prior written permission.
You may use Companion solely for your own personal, non-commercial use. You may not use Companion, its responses, or any content generated through the Services to:
Our proprietary frameworks, including but not limited to ARISE™, Beyond the Stages™, Hidden Grief Audit™, Companion, and related methodologies, remain the exclusive intellectual property of Live Nlight and Njeri Njuhigu.
What you share with Companion is stored for your use, protected by access controls, and handled per our Privacy Policy. We do not sell your personal information. Given the sensitive nature of grief-related information, please review the Privacy Policy for how your data is stored, secured, and your rights under California law.
Grief and emotional work can surface strong feelings, and the Services are support and education — not treatment. You use the Services voluntarily and assume the risks of doing so, and you agree to seek qualified professional help for any medical or mental-health need.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY CONTENT (INCLUDING AI OUTPUT) IS ACCURATE OR SUITABLE FOR YOU.
TO THE FULLEST EXTENT PERMITTED BY LAW, LIVE NLIGHT AND NJERI NJUHIGU WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICES, INCLUDING ANY DECISION OR ACTION YOU TAKE BASED ON THE SERVICES OR COMPANION'S OUTPUT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
You agree to indemnify and hold harmless Live Nlight and Njeri Njuhigu from claims arising out of your misuse of the Services or violation of these Terms, to the extent permitted by law.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, Companion, your subscription, or your use of the Services shall first be addressed through good-faith informal discussions.
If we are unable to resolve the dispute informally within thirty (30) days after written notice is provided by either party, the dispute shall be resolved exclusively through final and binding arbitration rather than in court, except as otherwise provided below.
The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, or another mutually agreed arbitration provider if the AAA is unavailable. Arbitration may be conducted remotely by video conference, by written submissions, or in Los Angeles County, California, at the discretion of the arbitrator and consistent with the applicable arbitration rules.
You and Live Nlight agree that:
Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, or other proprietary rights pending completion of arbitration.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.
If any portion of this arbitration provision is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
We may update these Terms; material changes will be posted with a new effective date, and continued use means you accept them.
